Chai Discovery Acceptable Use Policy

This Acceptable Use Policy (“AUP”) identifies prohibited uses of the generative artificial intelligence models created by Chai Discovery, Inc. (“Chai”) (including but not limited to the Chai-1 Model) (the “AI Model”), any outputs created by the AI Model (“Outputs”), and any works that are based on (or derived from) the AI Model or Outputs, including any improvements or modifications thereto (“Derivatives”) made available to you, whether via your download of the AI Model itself pursuant to the Chai Discovery Community License Agreement, or your access to the AI Model and receipt of Outputs via the web portal offered by Chai.

This AUP is incorporated by reference into, and made part of, the Chai Discovery Community License Agreement and/or the Chai Web Application Terms of Service (as applicable, the “Agreement”), in each case as applicable to you (“You”), and may be amended from time to time by Chai upon reasonable notice (e.g., by posting an updated version of this AUP). Updates of the AUP become binding, including on existing users, on the later of the date specified in the updated AUP or thirty (30) days after posting. Capitalized terms not defined herein have the meanings ascribed to them in the Chai Discovery Community License Agreement and/or the Chai Web Application Terms of Service.

Any violation of this AUP may result in the suspension or termination of Your access and use rights to the AI Model, Outputs, and/or Derivatives.

We do not allow the AI Models, Outputs, and/or Derivatives to be used for the following purposes:

1. Training. You may not use the AI Models, Outputs or Derivatives to train, optimize, improve or otherwise influence the functionality or performance of any: (i) neural network, tool, platform and/or artificial intelligence or machine learning models with more than 10,000 parameters; or (ii) technology for protein structure prediction or protein, drug, or enzyme design.
   
   

2. Attribution. You must provide conspicuous notice that any Output or Derivatives you publish or distribute are provided under and subject to this AUP, and link to this AUP.
   
   

   1. If you have licensed the AI Model and Outputs under the terms and conditions of the Chai Discovery Community License Agreement (available online at: https://chaidiscovery.com/cdcla) (“CDCLA”), you must notify subsequent users that Output or Derivatives are subject to Section “Use Restrictions and AUP” of the CDCLA, which, for the purpose of clarity, includes restrictions that the AI Model, Outputs, and Derivatives may not be used:
      
      

      1. For any commercial use, including but not limited to any use by, on behalf of or for any Commercial Entity (as such term is defined in the CDCLA) or to facilitate the development of any product or service to be sold or made available for a fee or other economic consideration; or
         
         

      2. In or in connection with the provision of any service offering to third parties (such as in connection with a hosted service offering that provides Outputs or Derivatives to third parties), regardless of whether or not such service requires monetary compensation or other consideration.
         
         

      3. in connection with drug development or discovery, including but not limited to (i) the development (at any stage) or discovery of any drug, medication, therapeutic, or pharmaceutical of any kind; (ii) any molecular or biological target, hit or lead identification; (iii) any drug candidate selection; and/or (iv) any lead optimization.
         
         

   2. If you have licensed the AI Model and Outputs under the terms and conditions of Chai Web Application Terms of Service (available online at: https://chaidiscovery.com/terms-of-service) (“ToS”), you must notify subsequent users that Output or Derivatives are subject to Section “Output Use Restrictions” of the ToS, which, for the purpose of clarity, includes restrictions that the Outputs and Derivatives may not be:
      
      

      1. used in connection with any benchmarking or other comparison of the Services with any other technology; or
         
         

      2. upload, distribute, or otherwise provide any Output to any other artificial intelligence or machine learning model, tool, neural network, or other technology for any purpose.
         
         

3. Deceptive, Fraudulent, and/or Misleading Activities. You may not use the AI Models, Outputs or Derivatives for any deceptive or misleading activities, as determined by Chai in its sole discretion, including but not limited to:
   
   

   1. misrepresent your relationship with us;
      
      

   2. misrepresent or obfuscate the origin of Output or Derivatives (such as by presenting Outputs or Derivatives as human-generated and not generated by the AI Model);
      
      

   3. distribute misleading claims of expertise, capability, or guarantees regarding the AI Model, including claims in regulated or sensitive fields (e.g., health); or
      
      

   4. use the AI Model to make decisions that affect material or individual rights.
      
      

4. Illegal, Malicious, or other Harmful Activities. You may not use the AI Models, Outputs or Derivatives for any illegal or malicious activities, as determined by Chai in its sole discretion, including but not limited to:
   
   

   1. override or circumvent (or attempt to override or circumvent) safety filters or intentionally directing the AI Model to create any Output that, or otherwise act in a manner that, contravenes the Agreement or our policies (including this AUP);
      
      

   2. promote or facilitate the sale of, or providing instructions for synthesizing or accessing, illegal articles or services;
      
      

   3. interfere with or negatively impact Chai’s products or services;
      
      

   4. violate any natural person’s rights, including privacy rights (as defined in applicable law); and
      
      

   5. violate applicable law, rules, or regulations (including committing, facilitating, or encouraging any type of crime).
